1. Acceptance of Terms
By accessing, browsing, and using NipponTicketHub's website, mobile applications, and services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. Your continued use of our Services constitutes your acceptance of any modifications to these Terms.
2. Description of Services
NipponTicketHub operates a platform for discovering, booking, and managing event tickets and reservations across Japan. We facilitate transactions between users and event venues/organizers but do not directly operate or manage events. We act as an intermediary and are not responsible for the conduct, quality, legality, or safety of events, venues, performers, or other users. All bookings are subject to event-specific terms and conditions provided by venue partners.
3. User Eligibility & Account Registration
You represent and warrant that: (i) you are at least 18 years old or have obtained parental/guardian consent if between 13-18; (ii) you have the legal right to enter into this agreement; (iii) all information you provide is accurate, complete, and current; and (iv) you are not prohibited from using our Services by applicable law or regulation. Users under 13 cannot create accounts. You are responsible for maintaining the confidentiality of your login credentials and are liable for all activity under your account. You agree to notify us immediately of unauthorized access or security breaches.
4. Ticket Booking, Payment & Reservations
Booking Process: When you book a ticket through our platform, you are entering into a binding contract with the venue/organizer. We charge a service fee in addition to the ticket price. All prices are displayed in Japanese Yen unless otherwise stated. You agree to complete payment for all items in your cart before checkout is considered final.
Payment Terms: We accept major credit cards, digital payment methods, and local Japanese payment options. Payment information is processed through PCI-DSS Level 1 compliant providers. By submitting payment, you authorize us and our payment processors to charge your account. Failed payments may result in booking cancellation.
Reservation Hold: Ticket reservations are held for 15 minutes during checkout. If payment is not completed within this period, the reservation expires and tickets return to general availability. Expired reservations are non-refundable.
5. Cancellations & Refunds
Refund Policy: Refunds depend on the venue's cancellation policy, which is disclosed before purchase. Generally: (i) if an event is cancelled by the organizer, full refunds are issued within 30 days; (ii) if you request cancellation, refunds are subject to the event's cancellation window (typically 7-14 days before the event); (iii) service fees are non-refundable except in cases of platform error or cancelled events; (iv) refunds are processed to the original payment method within 5-7 business days after approval.
Non-Refundable Purchases: Tickets for events occurring within 48 hours of purchase, rush delivery charges, and VIP packages are generally non-refundable unless the event is cancelled. Specific exceptions are noted at checkout.
6. Ticket Delivery & Validity
Digital Tickets: Most tickets are delivered digitally via email or within the mobile app within 2 hours of purchase. Digital tickets are valid on a QR code and barcode system. You are responsible for storing your ticket securely and presenting a valid, unaltered ticket for entry. Screenshots are accepted at most venues. Do not share or resell your ticket without authorization.
Physical Tickets: For physical ticket delivery, you may choose standard mail (3-5 business days) or rush delivery (1-2 business days). Physical tickets are valid only with an unaltered barcode and security features intact. Shipping costs and delivery times are confirmed at checkout.
Entry Requirements: Venues reserve the right to require ID verification and to deny entry if tickets are invalid, altered, or if the ticket holder does not match ID requirements. Late arrivals may miss entry if gates have closed.
7. Prohibited Conduct & User Responsibilities
You agree not to: (i) use our Services for any illegal or unauthorized purpose; (ii) resell, scalp, or distribute tickets outside our official resale platform without authorization; (iii) use bots, scrapers, or automated tools to access the platform; (iv) attempt to manipulate ticket availability or engage in fraudulent purchasing; (v) harass, threaten, or abuse staff, other users, or venue personnel; (vi) violate any applicable local, national, or international law; (vii) infringe on intellectual property or proprietary rights; (viii) introduce malware, viruses, or malicious code; or (ix) access accounts or systems without authorization.
8. Intellectual Property & Content Rights
All content on our platform, including text, graphics, logos, images, music, and software (collectively, "Content"), is the property of NipponTicketHub, our partners, or their respective licensors and is protected by Japanese and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to view and use Content for personal, non-commercial purposes only. You may not reproduce, distribute, modify, adapt, translate, or create derivative works of Content without explicit written permission from the copyright holder.
9. Liability Limitations & Disclaimers
Disclaimer: Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee that our Services will be uninterrupted, error-free, or secure.
Limitation of Liability: To the maximum extent permitted by law, NipponTicketHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising out of or relating to your use of our Services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the specific transaction in question.
Third-Party Content: We are not responsible for event quality, venue conditions, performer cancellations, or the conduct of third parties. Your sole remedy for event-related issues is through the event organizer or venue.
10. Indemnification
You agree to indemnify, defend, and hold harmless NipponTicketHub, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your use of our Services; (ii) your violation of these Terms; (iii) your infringement of any intellectual property rights; (iv) your conduct at an event; or (v) any harm caused by your tickets or bookings to any third party.
11. Dispute Resolution & Arbitration
Informal Resolution: Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting support@calmmeadowbreeze.com. We will attempt to resolve your complaint within 30 days.
Jurisdiction & Venue: These Terms are governed by the laws of Japan, without regard to conflict of laws principles. Any legal proceedings shall be brought exclusively in the courts of Tokyo, Japan. By using our Services, you consent to the personal jurisdiction of Japanese courts.
Class Action Waiver: You agree that all disputes must be resolved on an individual basis and you waive the right to participate in class action lawsuits or class arbitration.
12. Modifications to Terms & Services
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before they take effect. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms. If you do not agree with any modifications, your sole remedy is to discontinue using our Services.
13. Termination of Account
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include: (i) violation of these Terms; (ii) fraudulent activity or payment disputes; (iii) abuse of our Services; or (iv) violation of applicable law. Upon termination, your right to use our Services ceases immediately. Termination does not relieve you of payment obligations or indemnification obligations that survive termination.
14. Entire Agreement
These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NipponTicketHub regarding your use of our Services and supersede all prior negotiations, understandings, and agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. NipponTicketHub's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
